Tax-Exempt Organization Issues

Our attorneys are recognized leaders in the representation of tax-exempt organizations, including national health systems, hospitals, support foundations and managed care organizations, with particular expertise in counseling Catholic health care organizations. We routinely advise our tax-exempt clients on issues related to the preservation of tax-exempt status, including private inurement, intermediate sanction, executive compensation and conflict of interest issues.

Our health care litigators currently are involved in defending class action lawsuits brought by uninsured individuals against tax-exempt hospitals alleging they were overcharged for medical care.

We provide comprehensive analysis of the tax implications related to participation by our tax-exempt clients in various transactions and business relationships. We have substantial experience in seeking and obtaining state attorney general approval of proposed transactions on behalf of our clients and a comprehensive understanding of the unique issues facing tax-exempt organizations desiring to restructure in a time of increased state oversight of nonprofits and charitable trusts.
