Mariquita is an experienced and results-driven M&A and tax attorney who negotiates and closes complex transactions. A former corporate counsel herself, she frequently serves as outside general counsel to clients, providing practical guidance on a full range of legal, business and compliance matters.
Mariquita represents clients in mergers and acquisitions of all types, including complex commercial transactions involving stock, membership interests, asset purchases and sales and real estate. She has also negotiated and closed numerous tax-free reorganizations of multi-million-dollar corporations. A seasoned deal lawyer, Mariquita works closely with clients to ensure their goals are completely understood and accomplished, right-sizing legal work to the client issue and deal size.
She holds a Master of Laws in Taxation and offers essential advice on the tax implications of corporate transactions. Mariquita provides comprehensive advice and structuring for private equity and hedge funds, and those involving joint ventures. She also develops sound and novel solutions for clients on tax issues, both national and international.
Drawing on her in-house experience with a Fortune 500 bioproducts company, Mariquita provides regulatory counsel to clients on their FDA, USDA and EPA compliance obligations. She has designed and improved best-practice templates for confidentiality agreements, employment agreements, vendor contracts and commercial transactions. Mariquita has also conducted internal ethics investigations and led crisis management approaches that have minimized risks and penalties.
Mariquita is a Certified Information Privacy Professional (CIPP) and manages clients' global privacy and data security program implementation, including GDPR compliance.
During her time as corporate counsel and assistant secretary with DuPont Nutrition & Health, Mariquita served as general counsel to three major business divisions. She managed corporate and litigation matters, trade compliance, employment law questions, and an M&A portfolio with acquisitions, divestitures, joint ventures and stock purchases in excess of $6 billion. Mariquita collaborated with business leads to protect IP assets, secure trade secret protections, and negotiate licensing and sales opportunities throughout North America, Europe, Asia Pacific, South and Latin America.
Mariquita is passionate about applying her in-house experience to each client relationship and getting "in the trenches" with general counsel and executives on their thorniest legal questions and most complex transactions.
