Sara represents lenders, community development entities and investors in tax credit and financing transactions.
For more than a decade, she has advised clients on a broad range of corporate and transactional matters, including serving for several years as general counsel, vice president and corporate secretary of a publicly traded special purpose acquisition company. In that role, Sara learned firsthand the type of responsive, practical legal guidance that executives need to make decisions quickly and effectively and played a direct role in advising a public company board of directors. During her time with Quinpario Partners and Quinpario Acquisition Corp. 2, she led the company's internal legal efforts on its $350 million IPO and $2.8 billion acquisition to form Exela Technologies, Inc.
Sara has extensive experience in corporate governance, mergers and acquisitions, debt and equity financing and securities compliance. She drafts and negotiates a variety of commercial contracts and provides day-to-day counsel on general business matters. Additionally, Sara has represented corporate creditors in loan workouts, out-of-court restructuring transactions, bankruptcy proceedings and lender liability litigation. She also has experience representing health care entities.
Sara has successfully litigated a variety of commercial disputes in federal and state trial courts in Missouri and Illinois, the Missouri Court of Appeals and the Supreme Court of Missouri.
