Thompson Coburn has long-standing relationships with many of the major U.S. and international banks and has represented them in loan transactions and related matters throughout the country.
We represent financial entities in all aspects of real estate lending and finance, including construction lending, commercial financing, acquisitions financing and special asset services. We have negotiated loan documents on behalf of our lender clients with respect to office buildings, shopping centers, industrial sites, retail and mixed-use developments, condominium developments, residential and commercial subdivisions and undeveloped land. The firm also has negotiated construction loan packages, loan work-outs and debt restructuring agreements and conducted foreclosure sales on behalf of our lender client base.
Represented the lender in an acquisition and construction loan that totaled almost $83 million. Representation included drafting loan documents, reviewing due diligence items and closing the three transactions.
Represented the lender in a series of loans totaling $69.1 million for the acquisition and construction of supportive and assisted living facilities in Illinois and Wisconsin. (2015)
Represented a bank in a $58 million construction loan for the acquisition and development of 5.8 acres in San Jose, Calif., for a 90,000-square-foot building for a federal agency.
Represented the lead lender in a refinance and $57.3 million construction loan in connection with a 703,000-square foot building in Overland Park, Kansas.
Represented a major financial institution with respect to nine loans to various affiliates of a California automotive dealership group totaling $37 million, all of which were secured by mortgage liens on the automotive dealership properties.
Represented the lender in a $28.3 million construction loan for the development of two parcels of prime real estate in downtown Clayton, Missouri. The borrower is developing a $41 million, six-story, 210,000-square-foot-building that would include 120 one- and two-bedroom apartments, 13,500 square feet of street-level retail and 145 below-grade parking spaces. Additionally, the property is part of a CID (Community Improvement District).
Represented the lender in a $25.2 million construction loan for the development of a building in a high-tech corridor in the City of St. Louis. The loan was secured partially by real estate and TIF revenue generated by a newly constructed retailer located in the same TIF district.
Represented a developer in the refinancing for a $19 million loan for a multi-tenant industrial facility in Wisconsin.
Led a transaction involving $9 million in new and modified facilities for the acquisition and development of car dealership and associated offices located in Dickson, Tennessee. The project was unique due to the various loan facilities, which included both real estate and non-real estate as part of the bank’s collateral.
Represented a bank in a $14.5 million acquisition loan made to two tenants in common who were co-borrowers on the transaction. The loan funded the purchase of two apartment complexes in Cape Girardeau, Missouri. In addition to the acquisition, a large portion of the loan proceeds were held back for capital improvements.
Led the modification of an existing loan that allowed a loan from a third-party entity to finance certain energy efficient improvements at a midtown St. Louis property in exchange for a tax lien to be implemented through the City of St. Louis.
Represented a lender with respect to a $12 million construction loan for the construction of an 80-unit affordable housing apartment complex in Southern Illinois.
Represented the lender in a $19.7 million construction loan for a 225-unit multifamily development located in Sioux City, Iowa. The project was unique because the borrower qualified for two Iowa tax incentives, the Iowa State Workforce Housing Tax Credit and a 10-year partial property tax abatement.
Represented a national financial institution in a $24.9 million construction loan to the developer of an 80-unit transit-oriented low income housing project in Los Angeles.
Represented the lender in a $22 million construction loan for the construction of a 164-unit low income multi-family apartment complex in New Orleans secured in part by federal low income housing tax credits.
Represented the lender in a $6.3 million construction and permanent loan for the construction of a 77-unit low income multi-family apartment complex in St. Louis secured in part by federal low income housing tax credits.
In a complex three-year matter that involved obtaining a TIF from the City of Chicago, we represented a client in the acquisition of $45 million in loans collateralized by eight retail property sites across the Chicago area and northern Indiana. The transaction included due diligence of all eight properties — including review of title, TIF documentation, developer agreements, and zoning — deed-in-lieu agreements, deed-in-lieu-of-foreclosure, and the sale of three properties.
